Midlevel

Terms of Service

Effective October 14, 2026

1. Agreement

These Terms govern access to and use of Midlevel (the “Service”), operated by Midlevel (“we,” “us”). By using the Service you agree to these Terms. If you use the Service for an organization, you agree on its behalf and confirm you have authority to do so. Where a Customer has a separate signed agreement with us, that agreement controls over these Terms.

2. Accounts

Access is provided to organizations (“Customers”) and the users they invite. You are responsible for keeping your credentials secure and for activity under your account. Customer administrators control who has access to their workspace and may remove users.

3. Your content

Customers keep all rights to the documents, data and other material they put into the Service (“Customer Content”) and to the outputs generated from it for them. You grant us permission to host, process and transmit Customer Content only as needed to provide, secure and support the Service, as described in our Privacy Policy. You are responsible for having the rights and consents needed to upload Customer Content, including any confidentiality obligations you owe to others.

4. Acceptable use

You agree not to:

  • use the Service in violation of law, or to infringe or misappropriate others’ rights;
  • send unlawful, deceptive or unsolicited bulk email through the Service’s outreach features, or ignore opt-out requests;
  • attempt to access another organization’s data, probe or bypass security, or disrupt the Service;
  • reverse engineer the Service, or use it to build a competing product; or
  • resell or share access with anyone outside your organization without our permission.

5. AI output

The Service uses artificial intelligence to produce analyses, summaries and drafts. AI output can be incomplete or wrong and must be reviewed before you rely on it. Output is not investment, legal, tax or accounting advice, and decisions you make using it are your own.

6. Third-party services

The Service works with third-party services, such as AI model providers, Google, and providers you connect with your own credentials. Your use of those services is also subject to their terms, and we are not responsible for them.

7. Fees

Fees, if any, are set out in your order or plan. Unless agreed otherwise, fees are billed in advance or as usage accrues, are non-refundable, and exclude taxes. We may suspend access for overdue amounts after notice.

8. Confidentiality

Each party will protect the other’s non-public information with reasonable care and use it only to perform under these Terms. Customer Content is your confidential information.

9. Suspension and termination

You may stop using the Service at any time. We may suspend or end access if you breach these Terms or if needed to protect the Service or others. After termination, a Customer may request export of its Customer Content within 30 days; after that we may delete it.

10. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Our total liability arising from these Terms or the Service is limited to the amounts you paid us for the Service in the 12 months before the claim.

12. Changes

We may update the Service and these Terms. We will post updated Terms here with a new effective date and notify Customers of material changes; continued use after that means you accept them.

13. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
